Just to give a sense of the scale of this operation, we have a new $420,000 impact crusher and a new $220,000 jaw crusher which are designed to process up to 2,000 tons per day for recycling material. In the simplest terms we will have between 75 and 150 tractor-trailers coming through our yard 6 days a week bringing recyclables and landscape waste to our large processing center and we charge market fees for this inbound material. Then we separate and process these varied materials and then the end product of a wide variety of metals, aggregates, and soils are sold out the other end of the facility to other recycling centers and end users of these recycled commodities. In the last 3-5 years our facility has grown enormously in terms of its capacity to handle material and will now cash flow between $3.5-$4M on sales of $10M-12 easily with the new equipment that we have. Our customers who bring waste to us are very wide and varied from dozens of different industries, again, who pay us dump fees to deposit their debris in our central location. Then we sell the end product after processing to no less than 10 large metal/concrete/aggregate companies who and pay solid fees for these recycled products for these commodities that they ultimately sell to their end users. An example, we buy materials that we can recycle for say $16.50/ton and after we process the same material, we sell it to recyclers for $40/ton. We have the best (ONLY) recycling facility within a 10-15-mile radius: Like a gas station that is the ONLY gas station within a 10-15-mile radius, we can pretty much charge a nice premium for our inbound tonnage from waste haulers. We charge normal market rates for most waste/debris, but we could raise our prices simply because either they pay it, or drive it 10-15 miles north or east and incur the fuel and trucker drive time, etc. when you are the only game in town you are calling the shots and there will be no other facilities coming to compete because all the land in our radius used up and zoning for a recycling facility would not be possible or economically practical for a new competitor. This is everything to ensure stronger margins for the new owner, but again, the seller has not pushed prices to where they could be. In terms of demand for both ends of this operation, there is a never-ending demand from construction companies and individuals to bring waste to our facility. In fact, the demand to dispose and recycle materials is greater in our 15-mile radius then we are currently receiving by a long shot. We are only receiving a small percentage of waste and recyclables in our market, and the rest are taken to facilities that are much further away than where we are, and of course “miles are money” in the hauling industry. We just need start marketing our existence and our capacity to customers that don’t currently use us to let them know that we are here and what we do. In summary, we are the only facility to take this waste in all of north metro Denver and have the fastest on/off access to 3 major highways. It must be made clear here that at no point in the past have we done any form of sales or marketing or business development efforts to grow any aspect of this recycling facility as well as the demolition and excavating arm of the company. Our website and internet presence is just 1 year old – new site last year. Simply put, a new owner could dramatically increase the amount of material that can be brought to this facility by creating awareness and this is something we never pursued in any regard, in terms of bringing in more materials and waste, and selling the end-recycled products and commodities. Tin terms of end-users of who we send to, here is a never-ending demand for aggregates, copper, steel, other metals, road base, good soils and other construction commodities. Simply put, the 10 to 15 customers who buy our end products has an insatiable thirst for more material and recyclables than we could ever produce. Commercial and Residential Demolition and Excavation Services are more straightforward and need less of an explanation then the landscape materials and recycling company just described. Demolition and excavating are the oldest and original services of our company and we have an excellent history and reputation among hundreds and hundreds of construction companies. In terms of our track record, we have completed approximately 10,000+ individual projects in our history and have never missed the mark or left a job without exceeding the customers’ expectations. If it wasn’t done right the first time, we ALWAYS made it right 100% of the time, we have never had a bond called or a complaint filed against us that we were found of any wrongdoing. However, it is clear to key management that a new owner could double the excavating revenue immediately with the work that is already being asked of them that they currently turn down. More specifically, the company has all of the excavation, and to a smaller extent, demolition work they could possibly handle starting immediately. The general manager has claimed, “that they turn down just as much work as they accept”. Over $5,000,000 in Newer/New Equipment: The seller spent over $3,000,000 on new equipment in the past few years alone to maximize depreciation ($3.9M for those 2 years) to cut taxes and buy enough equipment to be able to double the gross sales immediately. The general manager of the company has stated clearly that, “going forward, starting 2019-2020 the new owner can increase sales to $10M in sales, and triple cash flow to $3.5M now that we have all equipment needed for this production level. It should be very clear by looking at the figures above that the net income plus depreciation has been approximately $1 million to over $1.2 million on sales of $7.1 million to 8.2 million between 2013 and 2015. Gross sales fell to $4.9 million in 2016 and approximately $4.2 million in 2017. Notice that although sales fell by approximately 50% operating income fell substantially greater, as a percentage. In fact, in 2017 the business suffered a loss of approximately $400,000. It has been long known in this business and similar industries, that the business needs to gross about $6 million in sales to turn a decent profit and closer to $7 - $8 million in gross sales to generate about $1 million of net income. Simply put, this industry involves a great amount of overhead because of the large manufacturing facility, utilities, and employee base. Once the business begins to gross $8 - $10 million or more, a substantially greater portion of the incremental sales will fall to the bottom line as fixed costs are covered, and the primary variable costs such as raw materials and additional labor are relatively negligible. It is estimated that if the new owner got in there and increased gross sales by 50% above the 2014 high of $8.1 million, the business could cash flow over $3 million on sales of $12 million. The Drop in Sales the Past 3 Years: There are several reasons for the fall in sales from over $8,200,000 in 2015, down to $4,000,000 in 2017. First, up until now, we have only had 2 outside sales reps responsible for all our sales. Knowing each sales rep maxes-out at about $3,000,000/yr. in sales, we have always been stuck in the $7,000,000-$8,000,000 range because we never took the time (effort) to hire 2-3 new sales reps. Second, it is critical to understand that a business that is 100% absentee-owned will never perform nearly as well as one where there is an on-site owner watching the business and pushing it every day in sales, marketing, and business development. Also, the sales manager, retired last year after working 36 years in the company, he was 68 years old. Although he was a good and long-standing employee of the company, he never did push the small sales team of 2 reps much at all. (In fact, he was 1 of the 2 outside sales reps.) It is important to understand that in 2015 we considered selling the business, and he likely pulled back sales efforts. The two owners of the business, have always been completely passive and never pushed the manager to grow the business, certainly after it fell in 2015-2016. It’s typical that when you’re going to sell your business, you tend not to work hard to procure new customers, especially when there is about a 12-month lag time between meeting customers and getting orders. In addition to not pushing for new sales in 2016, the business lost several key customers including 3 large retailers. It is important to understand at this point that sales manager made a critical error of having too much of the sales connected to retail. Companies like the 3 customers and other retailers need material handling storage for their products in the retail outlets, however, this segment of the market ebbs and flows sharply. In our industry, the other segments of the market which should have been hot over the last 10 years is warehousing, manufacturing, and other material handling companies/operations. In hindsight, we should have been selling our racking, shelving and all other products we manufacture, to the enormous growth that has been taking place in wholesale distribution centers, warehousing, and small and large manufacturing facilities. More now than ever, they need to vertically-store finished products and other materials until they’re shipped on. The owner has also recently stated that another reason that nobody invested the energy to grow the sales is because they felt if the business were to be sold, the new owner would come in and determine which segments they wanted to push into and hire a new young, and more aggressive sales manager to pursue those markets. Again, bad planning and thus the 2016-2017 drop-off. Although the seller is completely removed from the business, it is very clear that a new motivated on-site owner-operator could get the business to over $10 million in annual sales within 2 to 3 years and cash flow at least $2 - $2.5 million, especially given that the business has no debt at all, and a very strong financial position. More good news, the company recently hired a very strong and experienced new sales rep who has a strong name and 15 years selling to the exact customers in our industry that we need to be targeting. He is very solid in selling to larger management distribution handling companies, i.e., warehouses, wholesale distributors, and manufacturers. This new rep should bring us at least $1,500,000 in the next 12 months, with at least $700,000 per year of that with a large national auto parts company that is expanding swiftly. This new sales employee has a long-standing relationship with this company and is confident that he can bring these annual sales figures in within the next 6 months or so. In addition to this sales rep bringing $700,000/yr. in sales from this source, we are confident that he can bring in at least another $1,000,000 in annual sales from other customers he has been selling to for the last 15+ years starting 2-3 years out. The biggest mistake we ever made was keeping all our eggs in that basket and not taking some of the enormous profits from 2012 to 2015 and directing those profits into hiring a few new salespeople and getting more distributors to sell Material Handling Equipment (MHE). If we did this, we would not have suffered a downturn in 2016 and 2017. Also, over the last 2 years sales fell largely because we reduced the volume to our largest account. We have already made efforts to shift into selling MHE through more distributors, but the new owner should put great emphasis on pushing into less more steady markets such as warehouses, wholesale distributors, and manufacturers. Going forward, the new owner should grow this area greatly which will not only produce much better margins but also diversify our customer base away from relying on retail sales. In short, there is no one to push them and it’s been that way since the owner bought the business 5 years ago. The husband/owner had absolutely no industry experience and had no intentions from the beginning of playing any active role in the company, his wife only goes to the shop 1-2 X’s/mo. ONLY to get personal work done such as treatments, etc. Therefore, with no oversight or owner-involvement whatsoever, it’s no wonder the business doesn’t cash flow 20% of gross sales like it should. There is so much to say here in terms of wasted capital on excessive payroll. We have 30 hairstylists that earn between $12 and $20/hr. on a fixed basis. However, up to 50% of their time is completely idle, meaning an empty chair. See our 2018 income statement for instance, we spend $1.1M/yr. in just stylists’ wages alone. This is way too much, 30%-40% above market given our sales, and we pay too high a base salary. We need to shift more of this compensation from fixed wages, to commissions, where the stylist is paid based upon production. This alone would either cut $300K in annual wages or force an increase of about $500K in sales, or a combo of both. This is a no-brainer, but we can’t keep paying $1.1M/yr. fixed and have the chairs empty 40%-50% of the time – ludicrous. In addition to that we have up to another 15-20 employees on the “guest services” team who greet customers at the front desk and do other small activities, which is frankly excessive – it should be 3-4 max. These are NOT money-making positions such as nail techs, or stylists, so by cutting this workforce down to say 8 employees here would save over $150K/yr. to the bottom line without any impact on operations. As the business broker selling this business I grilled the owner about the wisdom of having this many workers and why there has been this much waste, and the owner simply stated that he always knew there was a bloated workforce and no expectations for measured performance or accountability for the workers for anything, including sales and marketing efforts. The new owners should immediately reduce this category and also obligate the remaining workers to dramatically increase their efforts of proactive selling to increase sales. Of course, there are many easy-to-employ ideas on how to do this, but they’ve never been implemented. What may be observed overtime is that with imposed accountability and goal-meeting incentives, employees will take pride in their achievements and a good/ more positive work-culture is formed. Separately, we have an excessive number of stylists because the 30 we have only have clients in the chairs about 50% of the time. We are not so much suggesting that there be a substantial cut in stylist’s payroll here, but it is clear that once the new owner employs more aggressive sales and marketing efforts to get more customers in the door the “idle chair time” will go down and the stylists will produce more volume. The Stylist is always the best sales rep: As one would instinctively think, the best salesperson is the person who cuts your hair or does hair treatments since they have the closest connection and relationship with the customer by far. If you think about it there is often an intimate and long-standing personal relationship between the stylist and the customer with all of the conversation and relationship-building that has taken place over time. Logically, the customer would almost always follow recommendations blindly for retail sales suggestions for hair products, facial creams, and other peripheral services they can be up-sold. It is easy and natural for the stylist to make these suggestions which would receive a high percentage of action on the customers part, versus a complete stranger at the front desk making the same suggestion who doesn’t know the client intimately. This may sound obvious now that you think about it, but it’s clearly NOT happening since as you can see our retail sales are less than $500K/yr. on sales of almost $4M/yr. (10%). Industry experts know that retail sales should be at least 15% - 20% of gross sales if your people are effectively selling. Overall, our entire team needs to be trained, pushed and compensated to increase efforts in selling other services within the umbrella of what we provide, simply by talking up the other services in our shop. This is so easy, but simple sales training skills to our staff has never been a focus. We have never had any expertise in this area and we have no systems in place to ensure that people are promoting our services. It would be an absolute layup to grow from $4M to $6M in sales in the next 2 years simply by taking a hard look at all these things and having a new owner come in and implement some of the greatest and easiest ideas first and as workers start to accept them and employ them in their daily efforts, other things would be incorporated. The seller acknowledges that he knows what to do to grow sales at least to some extent, but he just has no inspiration to implement these obvious money-making efforts, but the new owner can, and should. This has sounded largely negative, but it’s really an opportunity for the new owner: It has to be made clear here that the business has absolutely everything to cash flow at least $1Myr. on sales of $5-$6M/yr. starting next year - No BS: We have the absolutely perfect A+ location, the perfect complement of services mentioned above, the best retail supplies, and of course 40+ excellent workers who are absolutely great at their trade, they just lack drive and have performed no proactive sales and marketing efforts to bring more business in. We have an excellent name and reputation for quality work. However, the biggest asset that the new owner will benefit from is our 50,000 customers and client retention. Our documented long-standing client list of which the large majority come back to us month after month, year after year and are completely loyal to our services and team. No one has yet thought to utilize this information with regular emails and text messages that can be sent on a periodic basis to encourage new services, convey discounts, or other proactive sales and marketing promotions. There are millions and millions of dollars of additional revenue potential that could be garnered from this database simply by leveraging this information which would include the front desk people texting or making periodic phone calls to reach out to people to get them in the door again since they haven’t been in for a while etc. It has been long- known in the industry that just a phone call to a customer goes a long way to get them to set an appointment, and we have NOT done anything like this to date. Simply put, we need to work our customer list, and use the data to our benefit – that’s why we build it. Even more good news. Because we are in a relatively small city as compare to Denver or Colorado Springs for instance, we are the only game in town within a 20 - 30-mile radius for the array of services we provide and the advanced equipment we have. In fact, we have a formal exclusive agreement with the landlord of our large mall that no other spa or salon can be opened while we are a tenant.
