TMV Business Group advises owners seeking to sell their businesses. Our sell-side brokerage services follow a detailed process that broadly encompass the following areas:

• Financial review, preparation of historical financials and financial recasting
• Market valuation analysis
• Definition of seller objectives and key sale criteria
• Preparation of Confidential Business Review (the central marketing document)
• Marketing through multiple channels and identification of potential strategic buyer(s)
• Selection of prospective buyer(s) based on suitability and ability to close
• Guidance with negotiations and transaction term structuring
• Assistance to seller with purchase financing as required
• Management of due diligence process
• Coordination of legal documentation and closing

Fees for sell-side brokerage engagements are agreed to on a case-by-case basis. They will include a success fee calculated as a percentage of gross sales proceeds. At the outset of the engagement, a one-time setup fee is charged based on the transaction size. The setup fee is credited back 100% at closing.

Carl Mehlman - Partner
Carl has held senior positions in both private and public companies, primarily in the retail and wholesale sectors, with a strong record of driving revenue and profitability over his 30-year career. He brings extensive knowledge of sales and marketing, as well as operations management. Carl now serves the business community by advising companies on growth, crisis and exit strategies and facilitating the sale of private companies at top market value. Carl has mentored hundreds of individuals on business, management and leadership throughout his career and through mindset coaching has empowered individuals to lead lives of fulfillment. Carl is a social entrepreneur, connector and is both active and an advocate in serving the community at large.

Mark Eiland - Partner
Mark has had a 30-year career of leadership in both corporate and entrepreneurial settings and brings a wealth of knowledge in strategy, planning and operations. He has held C-Suite positions in the corporate, banking and public sectors, including at IBM, Bank of America and the Attorney General of Texas. Mark has deep expertise in Information Technology and M&A integration. He has guided various size M&A projects from pre-deal due diligence, through Day 1 readiness and post-merger integration, spanning the acquisition spectrum from home-grown start-ups to a $5 billion-dollar transaction across an array of industries including technology, aviation and professional services.

Phil Ryhkoek - Senior Advisor
Phil is a battle-hardened financial executive, a conceptual thinker with a strategic mindset. He is naturally analytic, thoughtful, collaborative, and operates with a high level of integrity. Phil has held CEO, COO, CFO and board positions primarily in the public oil and gas industry, most recently as CEO of Denbury Resources. His experience includes debt restructurings, turnarounds, mergers and acquisitions, numerous debt and equity offerings, investor relations and personnel management and development. Phil is not afraid of a challenge, including financially distressed companies, as he loves to roll up his sleeves and solve problems. With his finance and accounting background, he is not limited to the oil and gas industry, although that has been his primary focus during his career, beginning his career nearly 40 years ago with Price Waterhouse.
