Rapt is a middle market intermediary firm involved in commercial finance, business brokering, valuations, and planning. Our company name, Rapt, was chosen to convey our deep commitment to providing our complete, undivided attention to our task. We are professionals who approach each of our engagements with Intensity, Integrity, Fairness and Honesty.

Our basic strategy is to negotiate on merits and conduct principled negotiations, requiring that both parties negotiate on objective standards that focus on interests and not positions. This strategy is best accomplished by presenting mutually advantageous options (“win-win” options) that make it easier to reach a conclusion. In our experience, this expedites the process and leads to successful negotiations that are acceptable to both sides.

Our relationship with the owner of a privately held company is a highly personalized hands-on service. We do not hand off work to junior associates once an agreement has been signed to represent a client company. We work closely with owners and their advisors from the beginning to gain an in-depth level of knowledge about the company. Every organization is different and we strive to gain an understanding of the uniqueness of each company that ultimately becomes a driver in the associated value.

Our principal, Angelo A. Ferrara, has advanced degrees in both business administration and engineering and has taught finance courses to MBA candidates. Prior to opening Rapt, he operated a manufacturing company and brings a “hands on” business experience to the buying and selling process. He is a member of the International Business Brokers Association (IBBA) and has achieved their designation as a Certified Business Intermediary (CBI). As one who has experienced owning and operating his own business, he understands that in he must act as a mentor to his client as well conduct successful negotiations.

Rapt is a professional business Intermediary firm representing companies and individuals interested in selling or buying a business, or in need of additional finance. Our company has been involved in the sale and acquisition of a variety of businesses and also provides business valuation services. While each industry has its own unique requirements and requires industry specific experience to operate the business, our years of academic and business experience enable us to evaluate and market deals in a variety of industries.

Working with us, you will benefit from our nearly 40 years of experience and a realistic approach to financing, marketing and selling your business. We work only with serious and qualified buyers and sellers, and keep our clients informed of our progress on a weekly basis.

We understand that unrealistic seller and buyer expectations are a major reason why many deals fall apart. Prior to taking an engagement, we perform a detailed evaluation that looks at the sale from the viewpoint of the seller to assure that our buyer has reasonable expectations and that our efforts will be successful.

In general, all buyers will consider the following three questions:

1. Can I make a living?
2. Can I pay off the business?
3. Can I make a return on the money I am investing?

We have developed an analytic system that addresses these issues in an unbiased manner, and have found that it creates a realistic basis for a deal framework and expedites the process.

Commercial finance is another primary focus of our business and we have been intimately involved in arranging financing from commercial lenders (including banks, private investors & insurance companies) for many deals. We are in the habit of performing a complete underwriting package that is conducted to the same level as commercial banks and private lenders. This combination of practical underwriting experience and analytical skills is especially beneficial in determining the market valuation of businesses and to the buying and selling process.
Cash flow management is a major issue that confronts and stresses many business owners. It is well known that many otherwise successful businesses fail due to a lack of proper cash flow management. Moreover, many owners are stressed weekly over meeting this week’s payroll. We have developed a low cost, computerized program to simplify this essential process and assure that you manage your cash properly.
