Have helped buyers and sellers get capital and loans, and have helped clients either close on or analyze and reject deals. Recent examples include a day care centers, a soy biodiesel plants, a garden center, a fingerprint scanning company, a document imaging business, an automatic guided vehicles company, and an x-ray equipment business. Have been recognized by my peers as a leader in the business bar. Served as Chairman of the subcommittees that wrote both enacted versions of the Illinois Limited Liability Companies Act., of the Corporation, Securities, and Business Law Section Council and Administrative Law Section Council.of the Illinois State Bar Association, and of the CEO Series, which features company leaders telling the story of how they have started and succeeded every month at the IIT campus in Wheaton. Have advised manufacturers representatives on export deals, written master service agreements for consulting engineers, analyzed IP licensing for a medical device company, and have helped with nondisclosure arrangements for food companies. New business organization paperwork can be a problem when you buy or expand a business. I have incorporated or organized LLC's for startups in educational coaching, photography, music teaching, biotech, computer security, plastics product imports, and many other industries. Business plans and strategy are easier with an experienced mentor, and may need good student recruits.. I have advised CEO's in computer services, parachurch ministries, computer software and hardware, biotech, jet engine parts brokerage, furniture manufacturing, and mixed hardware/software printing businesses on expansion and capital formation. Teaching and research helps give something back to the community, and can renew the idealism too many deal meetings might drain. I have taught venture capital and business law courses at the Stuart Graduate School of Business, Illinois Institute of Technology. J.D. and M.B.A. from Duke University, and have written treatises and articles on limited liability entities around the world. My educational background includes a B.A. from the University of Illinois, Champaign-Urbana and a J.D. and M.A. (Public Policy Studies) from Duke University, as well as study abroad in Germany and Austria.
