BACKGROUND:
Mr. Robert (Bob) P. St. Germain, CBI is Managing Director with the Columbus, OH Team of Corporate Finance Associates. He brings over 35 years of leadership experience from service in the military; from executive level positions in small to Fortune 500 corporations; and from serving both as an intermediary in a business brokerage and as a Principal at another private investment bank. His practice focus is on privately held manufacturing, distribution, and B2B service businesses with up to $200 million in revenues.
Bob's previous corporate M&A experience included work on acquisitions, divestitures, and joint ventures; participating on a joint venture board; serving in the sell-side management teams on separate $2.2 billion and $470 million mergers; and dealing with the many challenging post-close cultural and integration issues associated with those activities. He has taught Strategic Planning at Franklin University in Columbus, OH; and regularly gives public and private presentations on various aspects of the M&A process.
He is a Registered Representative with both the Series 7 General Securities and Series 63 Uniform Securities Agent licenses. His sponsoring Registered Broker-Dealer is Corporate Finance Securities, Inc.
Bob began his career in the U.S Army. Commissioned upon graduation from West Point as an Infantry officer before transferring to Special Forces, he served as a paratrooper in command and staff positions within the 82nd Airborne Division, VII Corps, and 11th Special Forces Group (Airborne) in both the U.S. and Europe. He also graduated from numerous Army leadership programs including: Command and General Staff College, Infantry Officer Advanced, Infantry Officer Basic, Airborne, Ranger, Jungle Operations, Special Forces, and Jumpmaster. He attained the rank of Major.
After graduate school, Bob entered the corporate sector and, over a two decades plus career, developed a broad functional background from roles in Finance, Marketing, Sales, Engineering, and Strategic Planning at Polaroid Corp., Grumman Corp., Northrop Grumman Corp., Holophane Corp., and NSI, Inc. His international experience was gained from responsibilities for business development in Europe, Latin America, and Japan.
Bob earned his Bachelor of Science degree in General Engineering from the U.S. Military Academy and his MBA in General Management from the Graduate School of Business Administration at Harvard University.

1.) Protection of securities related transactions (see SPECIAL NOTE below) by conducting all engagements within the context of our own broker-dealer organization and by utilizing M&A intermediaries having the appropriate securities licenses; 2.) Sell-side engagements facilitating the merger, divestiture, or recapitalization of client companies; 3.) Buy-side engagements facilitating the growth of client companies via acquisitions; and 4.) Business valuations.
SPECIAL NOTE: Federal and state mandates require that securities related business purchase or sale transactions (i.e. those that utilize stock, promissory notes, or certain other agreements that meet the legal definition of a "security" in the deal structure) be facilitated by business brokers or M&A intermediaries who are Registered Representatives (i.e. have securities licenses) sponsored by a Registered Broker-Dealer. Transactions that are not so facilitated could be subject to rescission for up to five (5) years post-close. Thereby, such a deal would be cancelled or annulled causing the business to be returned to the seller and any consideration in the sale to be returned to the buyer.
