We are financial consultants to a group of investors whom we have their consent to manage their funds which is in our custody for cooperation in joint venture business investments.

That would be a patently foolish thing to do, as has been stated in this bulletin board on a number of occasions. A stock purchase agreement is virtually worthless and bound to lead to difficulties. Even if the general terms are okay, each type of business has specific legal issues that need to be addressed, in detail. If you do this and you are a Seller, you leave yourself with incredible liability; if you are a Buyer, you put yourself in a terribly defenseless position; if you are a Broker, you can be sued by both parties, if the slightest thing goes wrong with the deal. And whoever does it can be accused of practicing law without proper credentials. Time and time again, I preach that this is no time to go cheap! Both sides should hire attorneys!
