The most basic questions are: (1) What do you get for your $12,500 that you could not get for yourself by doing it alone? (2) How much profit is there in your 40%, how is it computed, how can your partner potentially screw you out of your percentage, does it make sense to invest $12,500 for that kind of money...? You get the idea. (3) What is the role of each partner? (4) How do you get out of the partnership, or buy your partner out?

And NEVER go into this kind of scenario without legal counsel!
