Normally, you would use a weighted average of the last three (3) years EBITDA, obtained from Tax Returns. The weighted portion would lean more toward the latest year; therefore, if the business is down 7%, this would have a dampering effect on the pricing strategy.

It really is impossible to say howmuch you would obtain in a sales price without taking a look at the entire three (3) past years of business Tax Returns. The 2009 numbers can only be projected at this time, but because they are lower than the last year, any Buyer and Lender is going to demand those numbers be used as part of the computations.
